  • Pay fees according to the agreed payment schedule

Payment Terms

Payment terms are specified in individual service agreements or statements of work. General payment conditions include:

  • Fees are due according to the payment schedule specified in your service agreement
  • Late payments may incur additional charges as specified in the agreement
  • All fees are non-refundable unless otherwise specified in writing
  • You are responsible for any taxes, duties, or fees related to your location
  • Disputed charges must be raised within 30 days of invoice date

Intellectual Property

Client-Owned Work Product

Upon full payment, you will own the custom software, applications, and documentation created specifically for your project, subject to any pre-existing intellectual property rights.

Trifura Intellectual Property

Trifura retains ownership of:

  • Pre-existing intellectual property, tools, and methodologies
  • General knowledge, skills, and experience gained during projects
  • Frameworks, libraries, and reusable components we develop
  • Our proprietary development processes and methodologies

Confidentiality

Both parties agree to maintain the confidentiality of sensitive information shared during the course of our business relationship. This includes:

  • Business plans, financial information, and strategic initiatives
  • Technical specifications, source code, and proprietary systems
  • Customer data, user information, and business processes
  • Any information marked as confidential or that would reasonably be considered sensitive

Confidentiality obligations survive the termination of our service agreement.

Warranties and Disclaimers

Our Warranties

We warrant that:

  • Services will be performed with professional skill and care
  • Work will substantially conform to agreed specifications
  • We have the right to provide the services outlined in our agreements

Disclaimers

Except as expressly stated, our services are provided "as is" without warranties of any kind. We disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for the specific services giving rise to the claim
  • We shall not be liable for indirect, incidental, special, consequential, or punitive damages

Termination

Either party may terminate our service agreement under the following conditions:

  • For convenience with 30 days written notice
  • Immediately for material breach that is not cured within 15 days of written notice
  • Immediately if the other party becomes insolvent or files for bankruptcy

Upon termination, you remain responsible for payment of services performed and deliverables provided up to the termination date.

Privacy and Data Protection

We are committed to protecting your privacy and personal data in accordance with applicable data protection laws, including GDPR. Our data practices are detailed in our Privacy Policy.

When handling your data as part of our services, we act as a data processor and will:

  • Process data only as instructed by you
  • Implement appropriate technical and organizational security measures
  • Assist with your data protection obligations where reasonably possible
  • Delete or return data upon termination of services

Dispute Resolution

We prefer to resolve disputes through direct communication. However, if a dispute cannot be resolved informally:

  • Both parties agree to attempt mediation before pursuing legal action
  • Any legal proceedings shall be conducted in English
  • These Terms are governed by the laws of England and Wales
  • Courts of England and Wales shall have exclusive jurisdiction

General Provisions

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through our website. Your continued use of our services after changes constitute acceptance of the new terms.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement
